Organization
Under the leadership of the Attorney General of the United States, the Justice Department is composed of more than 40 separate component organizations and more than 115,000 employees. Headquartered at the Robert F. Kennedy Building in Washington, D.C., the Department maintains field offices in all states and territories across the United States and in more than 50 countries around the world.

本文是我们考虑美国对中国企业执法趋势的系列中的第一篇文章。本次交流的重点在于说明”中国行动计划”之终结并不意味美国司法部有任何对中国企业的执法重点的变化,并为中国企业的未来发展提供了进一步的考虑。
在特朗普政府执政期间,美国司法部(”DOJ”)对多个中国企业提起了几项备受瞩目的起诉,指控这些中国企业犯有秘谋不轨、违反经济制裁和出口管制条例、欺诈和窃取商业机密等罪行。其中,许多案件是在一个名为”中国行动计划”的伞式项目下被提起的。该计划在2018年成立,由DOJ国家安全部门(”NSD”)领导,目的是为了识别和起诉涉及中国个人和企业的优先级商业秘密案件和其他案件。由于有人批评该项目不公地针对华裔,DOJ最近决定取消该计划。”中国行动计划”的终结引发了DOJ对涉及中国的案件(特别是针对中国企业的案件)未来关注点的重要问题。[i]鉴于DOJ最近宣布正在考虑增强其企业执法力度,这些问题的重要性也随之被放大。对于在美国寻求避免法律责任的中国企业来说,深入了解DOJ的企业执法战略十分重要。

事实上,如果要说改变,DOJ对中国企业的关注反而似乎正在增加。2020年2月,联邦调查局宣布就窃取美国技术展开了大约1,000起公开的中国相关调查。[v]然而,截至2022年5月,联邦调查局局长宣布案件数量已经翻倍,达到大约2,000起。[vi]联邦调查局局长强调继续关注中国企业,表示”对我们的信息和知识产权、我们的经济活力以及最终对我们的国家安全最大的长期反间谍威胁都来自中国。”[vii]毫无疑问,这些新的中国调查中有许多都涉及中国企业,例如最近有一家中国电信公司被指控密谋窃取一家美国公司的商业机密。随着这2,000项调查中的部分调查将演变成刑事案件,对中国企业的起诉数量亦预计会增加。因此,中国企业应该更加关注DOJ近期宣布扩大其企业刑事执法力度的声明。
司法部对公司犯罪的更多关注将涉及中国企业
2021年10月,DOJ高级官员宣布对DOJ的企业执法计划进行重大改革。例如,DOJ副总检察长宣布,DOJ正在加派资源调查公司案件,在做出指控决定时,增强对公司过去不当行为的考虑,提高对公司配合度的要求,并取消可能不利于监察的事先指导。[viii]大约在同一时期,DOJ首席助理副检察长公布了DOJ公司执法工作的新优先领域,包括经济制裁、出口管制和涉及加密货币的洗钱犯罪。[ix]中国企业将无法于DOJ对公司犯罪的日益关注免疫。
虽然在处理涉及中国企业的案件时,DOJ仍必须应对与管辖权和获取证据有关的问题,但自2017年以来,DOJ对中国企业的起诉数量就已经证明其克服这些问题的能力有所增强。随着DOJ加大对违反俄罗斯经济制裁的执法力度[x],并开始更加关注洗钱组织,预计其对中国企业的关注将继续扩大。[xi]
DOJ还提高了为调查中国企业获取外国证据的能力。例如,近年DOJ扩大了与国际合作伙伴在跨境调查方面的协调与合作,使DOJ能够获取更多的外国信息和证据。此外,美国国会最近修订了现行法律,授权美国检察官可以传唤在美国设有代理银行账户的任何外国银行,以获取与”代理账户或外国银行的任何账户”相关的任何记录。[xii]这一权力大大提高了检察官获取追踪非法资金国际流动所需的金融文件的能力。值得注意的是,新法律规定,法院不得仅基于遵守传唤”将与外国保密法或机密法的规定相冲突”这一事实而撤销或修改传票。[xiii]因此,即使中国数据隐私或其他法律禁止中国的银行提供相应记录,银行也可能需要遵守传票的要求。违规可能会导致处罚和代理银行关系的终止。[xiv]
未来中国企业应该考虑什么?
中国企业应该考虑以下几点:
首先,中国企业应寻求建议,以了解美国司法管辖区的任何潜在风险,例如评估美国执法和监管机构如何看待其商业运营与美国利益的关系。评估应当考虑到DOJ对其域外管辖权日益扩张的看法,以及对几乎完全在美国境外的行为和从未涉足美国的外国行为者的调查。[xv]
其次,可能受美国管辖的中国企业应该了解DOJ的公司执法框架,这可能与中国企业习惯的执法框架迥异。特别是,DOJ的框架依赖低标准的公司刑事责任门槛,DOJ框架在决定如何结案时关注具体因素,包括公司合规计划的有效性、配合DOJ调查的质量以及补救措施的及时性和有效性。这些因素对于DOJ的指控决定(包括确定适当的结案形式(即认罪、延期或不起诉协议)、处罚金额以及是否任命检察员)很重要。DOJ预计将于未来几个月内宣布对其公司执法政策作出更多修改,因此这些范围仍然具有弹性。
第三,中国企业在评估自身合规制度的有效性时,应该与相关专家合作以了解DOJ的预期。DOJ的政策明确规定,在决定是否认可一家公司的合规计划时,DOJ将评估该公司的合规计划是否:(1)设计完善且考虑到公司的风险状况;(2)实施资源充足且被诚意实施;(3)在实际中经测试行之有效。举例而言,在对如何投资合规项目以帮助避免美国审查,或对如何进入美国市场进行合理的风险分析时,对DOJ预期的了解是必要的。
第四,中国企业还应该考虑到,DOJ的公司刑事决议过程越来越多涉及来自全球的多个执法和监管机构。因此,正在接受美国当局调查的公司需要意识到,当公司成为几个独立政府机构的平行调查对象时,可能会出现额外的复杂性和问题,因为每个机构都可能有不同的优先事项、目标和利益。

The Office of Legal Policy (OLP) acts as the principal liaison between the rulemaking components of the Department of Justice, the Office of Information and Regulatory Affairs at the Office of Management and Budget, and other federal agencies. OLP coordinates the regulatory development and the review of virtually all regulations and rule-related notices developed by all Department components. Documents are checked for:
policy consistency
appropriate interagency and intra-Departmental coordination, and
compliance with all applicable statutory and regulatory requirements.
OLP also assists Department components with the drafting of regulations and notices, along with their clearance and publication in the Federal Register. In addition, OLP reviews regulations and notices drafted by other federal agencies that may affect the Department of Justice.
On July 1, 2021, the Department of Justice issued an interim final rule, effective immediately, rescinding two regulations adopted in 2020 that imposed unnecessary and burdensome restrictions on the Department’s issuance and use of guidance documents. The rescission of these rules is consistent with President Biden’s Executive Order 1, 13992, revoking an earlier Executive Order on which the now-rescinded rules were based. Attorney General Merrick Garland also issued a memorandum on July 1, 2021, establishing the Department’s policy on the issuance and use of guidance. Together, the rescission of the rules and the Attorney General’s memorandum returned the Department to its traditional approach to guidance documents. Please note: This is the text of the interim final rule as signed by the Attorney General, but the official version of the interim final rule will be as it is published in the Federal Register.
